Pursuant to General Instruction E of Form S-8, Twilio Inc. (the Registrant) is filing this Registration Statement on Form S-8 with the U.S. Securities and Exchange Commission (the Commission) to register an additional 9,023,405 shares of the Registrants Class A common stock for issuance under the Registrants Amended and Restated 2016 Stock Option and Incentive Plan (2016 Plan) and an additional 1,800,000 shares of the Registrants Class A common stock for issuance under the Registrants Amended and Restated 2016 Employee Stock Purchase Plan (2016 ESPP), pursuant to the provisions of the 2016 Plan and the 2016 ESPP that provide for an automatic annual increase in the number of shares reserved for issuance under these respective plans. With respect to the shares of Class A common stock issuable under the 2016 Plan and the 2016 ESPP, this Registration Statement hereby incorporates by reference the contents of the Registrants Registration Statements on Form S-8 filed with the Commission on August 2, 2021 (File No. 333-258368), March 2, 2020 (File No. 333-236819), February 8, 2019 (File No. 333-229580), May 10, 2018 (File No. 333-224812) and June 23, 2016 (File No. 333-212191), in each case to the extent not replaced hereby.
